Definitions Used in These Terms
- Agreement: Any written proposal, scope document, contract, or accepted terms that define the Services and commercial terms.
- Client Content: Materials provided by the client, including text, files, data, graphics, or instructions.
- Deliverables: The outputs we agree to provide under the Agreement.
- Company Tools: Our internal processes, templates, software components, frameworks, or methods used to deliver Services.
- Final Deliverables: The completed Deliverables provided to the client under the Agreement.
- Project: The specific engagement described in the Agreement.
- Services: Customer support, operational assistance, consulting, or related services provided by customercareagent.com.
- Third-Party Materials: Products, content, or services owned by third parties that may be used or referenced as part of delivery.
Delivery of Services
Services are performed according to the milestones, timing, and requirements described in the Agreement. We apply professional judgment and make commercially reasonable efforts to deliver work consistent with what was agreed.
Unless explicitly stated in writing, we do not guarantee specific outcomes or business results.
Proposals and Time Limits
Proposals are open for acceptance for 30 days from the date issued unless stated otherwise. If a proposal is not accepted within that window, we may revise pricing, timelines, or scope before resubmitting.
Fees, Third-Party Costs, and Taxes
Unless included in the Agreement:
- Third-party costs (such as external tools or services) are billed separately
- Approved expenses may be charged at cost when applicable
- Clients remain responsible for applicable taxes related to Services
Invoicing and Payment
Invoices are due within five (5) days of issue unless a different schedule is set out in the Agreement. Where milestones apply, billing may follow milestone completion or other agreed triggers.
If payments are overdue, work may be paused until accounts are brought up to date.
Changes to Scope
All scope changes must be requested in writing.
Minor adjustments that do not materially affect delivery time or cost may be handled within the existing Agreement. Any major change that alters scope, budget, or schedule requires a written addendum or a new Agreement.
If a revised proposal is issued for changes, it should be accepted within fourteen (14) working days unless noted otherwise.
Delays and Timeline Shifts
If progress depends on client approvals, access, or materials, and these are delayed, timelines will be adjusted to reflect the delay.
If delays occur on our side, we will communicate updated timelines as soon as reasonably possible.
Events outside reasonable control may also extend timelines and will not, by themselves, be treated as a breach.
Review, Feedback, and Acceptance
We perform internal checks before submitting Deliverables.
Clients have seven (7) working days to review and provide feedback unless a different period is agreed. If revisions are within the agreed scope, they will be handled within a reasonable timeframe based on workload and complexity.
If no feedback is received within the review window, Deliverables may be treated as accepted.
Client Responsibilities
The client agrees to provide materials that are lawful, accurate, and ready for use. The client is also responsible for timely feedback and decisions, including decisions involving third-party providers where relevant.
Unless specifically included in the Agreement, final proofreading and verification remain the client’s responsibility.
Attribution and Work References
Unless agreed otherwise in writing, customercareagent.com may include a discreet credit link in digital Deliverables and may reference completed work in a portfolio or case summary using accurate, factual descriptions.
Neither party should unreasonably block truthful references to completed work.
Confidentiality
Both parties agree to protect confidential information shared during the engagement and to limit access to people who need it to perform the Agreement.
Confidentiality does not apply to information that is already public or was obtained lawfully without breach of confidentiality obligations.
Relationship Between the Parties
The parties act as independent contractors. Nothing in these Terms creates employment, agency, partnership, or a joint venture. Exclusivity applies only if expressly agreed in writing.
We may use subcontractors to assist with delivery while remaining responsible for the Services.
Liability Limitations
To the extent permitted by applicable law, Services are provided on an “as available” and “as is” basis.
Our total liability for claims related to the Services is limited to the amount paid for the specific Services that gave rise to the claim.
Rights in Deliverables
Once full payment is received, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as intended under the Agreement.
Company Tools and underlying methods remain our property unless ownership is transferred in writing. Any restrictions on modification or creating derivative works apply only to the extent stated in the Agreement.
Support and Maintenance
Support is provided only when included in the Agreement or agreed separately. Additional support may be billed.
Any support commitment may not apply if Deliverables are changed or maintained by third parties without our involvement.
Updates to These Terms
We may update these Terms and Conditions from time to time. The version published on customercareagent.com applies to website use going forward. Continued use of the website indicates acceptance of the updated Terms.
